Liq Pref
The Liq Pref (liquidation preference) page summarizes seniority structure and economic distribution rights in the instance of a company liquidation event. Data is organized in a table and as a waterfall visualization to help you best understand the hierarchical preference stack at a glance.
Preference summary
At the top of the page, you can view the following:
- My Total Liquation Preference, capturing your liquidation preference payout
- Total Liquation Preference, capturing total liquidation preference based on the total money raised and the rights and preferences of each equity class
Preference table
The preference table is broken out by seniority status and organized by equity class so you can compare term details easily.
The table captures:
- Equity class name
- Price-per-share (PPS)
- Liquidation multiplier
- Participation status
- Conversion ratio
- Your Liq Pref aggregated across your held positions
- Aggregate Liq Pref per equity class
- The total sum of liquidation preference
Preference waterfall
The liquidation preference waterfall--also referred to as a layer cake--visualizes aggregate liquidation preference based on each equity class and its respective seniority. You can use this view to quickly identify proportional splits within the preference stack.
In this example, the first preference exclusively consists of Series B Preferred and has a larger aggregate liquidation preference when compared to the second preference. Within the second preference, the constituent equity classes are pari passu so payout funds would be distributed pro rata.
Hover over any equity class within the waterfall to view additional preference terms and details, as outlined in the preference table.
Compare your Liq Pref to the aggregate wherever you see a blue 'person' icon, indicating your fund(s) actively hold a position in that class.
View details such as:
- Your Liq Pref
- Percentage owned of that preference
- Total shares held
Exporting your table
Click Export Page to download a CSV of your liquidation preference table.
The export will include all rows and data points in one table, wherein preference is accounted for in the Preference Order column.
